RefSpace Additional Services Regulations

1. General provisions: These Additional Services Regulations set out the rules for RefSpace’s provision of optional, paid services to Users (mainly Suppliers) that go beyond the basic functionality of the platform. Additional Services include, but are not limited to, offer promotion, marketing campaigns and special sales support functionalities. The use of these services is voluntary and occurs on the basis of a separate order by the User in the RefSpace panel or at hello@refspace.com. Each additional service may be subject to a fee in accordance with the applicable price list (attached to these Terms and Conditions). These Terms and Conditions are in addition to the main Terms and Conditions of the RefSpace Platform – in matters not directly regulated here, the provisions of the main Terms and Conditions apply.

2. Types of Additional Services: RefSpace currently offers (or plans to offer) the following additional services to Suppliers:

  • Offer highlighting (product promotion): a service which involves the special prominence of a selected Supplier’s product offering within the RefSpace platform. The featured product may appear in dedicated sections (e.g. “Featured”, banner on the homepage) or be graphically marked, increasing its visibility. Various forms and periods of distinction are available – e.g. a 7-day distinction on the homepage or in search results. The fee for highlighting is either fixed or dependent on the duration and is specified in the price list (e.g. amount per day of promotion). Scope of the service: increased exposure of the product on the site, which can translate into more visits to the listing and potentially sales. Conditions: Only listings that comply with the Terms and Conditions are subject to a mention (RefSpace reserves the right to refuse to promote a product that violates the rules or rights of third parties). The distinction is temporary – after the expiry of the purchased period, the offer loses its special status. The platform does not guarantee a specific result (e.g. number of sales), only exposure – effectiveness depends on the attractiveness of the offer and demand.
  • Information campaigns (push/e-mail) to Referrers/Creators: the service consists of active promotion of the Supplier’s brand or products to the RefSpace community of Creators. It includes, among other things, sending in-app push notifications and/or emails to a selected group of Referrers and Creators, communicating, for example, a new brand available on the platform or a special incentive to promote the brand’s products. Campaigns can be segmented (e.g. to Creators from a specific thematic category who would potentially be interested in the Supplier’s products). Scope of service: RefSpace agrees with the Supplier on the content of the message and the list of recipients (or criteria for selecting recipients), as well as the timing of the mailing. Conditions: The Supplier provides the materials necessary for the campaign (e.g. short description, graphics), which must comply with RefSpace standards (no misleading content, legal). The platform executes the dispatch, but does not guarantee that Creators will cooperate – the decision is up to the Creators. The campaign fee can be fixed or dependent on the reach (e.g. number of recipients). Any subsequent campaigns require a separate order.
  • Seasonal promotions and promotional packages: periodic marketing campaigns organised by RefSpace in which Suppliers can buy participation or benefit from preferential conditions. For example, this could be a Christmas campaign (Christmas) promoting selected products – the Supplier, for a certain fee, includes their product in a common promotional catalogue displayed on the homepage. Other examples are advertising packages (e.g. “Start package” for new brands including a highlight + push campaign with a discount). Scope of service: depends on the specific promotion – each time RefSpace announces the conditions of participation (duration of the promotion, offer requirements, cost). Conditions: Seasonal promotions are time-limited, after which they expire. Some promotions may have a limited number of places (e.g. only 10 offers can be awarded in a Black Friday campaign) – order of entry or other criteria decides. The supplier undertakes to ensure that the offer remains attractive during the promotional period (e.g. maintaining adequate stock, possible discount if part of the promotion). After the end of the promotional period, standard fees and conditions apply.
  • Licences for the use of Creators’ video content: a unique service that allows brands (Suppliers) to make wider use of content created by Creators within RefSpace. If a Creator creates a video review of a Supplier’s product on RefSpace, the Supplier can purchase a licence from RefSpace and the Creator to use this content in their own marketing channels (e.g. on the brand’s social media, on the shop website, in advertising). Scope of service: grant of a non-exclusive licence for a specific period of time (e.g. 3 months, 6 months) to publish the indicated video material outside the RefSpace platform. The licence may cover specific fields of exploitation (e.g. internet, social media, marketing presentations). Conditions: permission of the Creator is required – RefSpace mediates this process. The Creator retains the copyright and the Provider receives the right to use the content in accordance with the terms of the licence. It is not permissible to modify the video without the Creator’s consent (except for permissible format adaptation) or to use it in a context that violates the Creator’s good name. The cost of the licence is determined individually or according to a price list depending on the reach of the Creator (e.g. a spread of rates for Creators with a certain number of followers). The payment for the licence is divided between the Creator (as royalty) and RefSpace (agency commission). If the terms of the licence are violated (e.g. use after the expiry of the term), the Provider may lose the possibility to continue using this service and the Creator/RefSpace may claim for exceeding the licence.

(In the future, RefSpace may introduce other additional services, such as sales data analyses for Suppliers, integrations with external tools, training for Creators, etc. – possible new services will be added to the above list with conditions).

3. Ordering additional services: The Supplier can order the selected additional service via the RefSpace administration panel or by contacting the RefSpace account manager. In the panel (in the “Promotion” or similar section), options are available for redeeming the services together with information on costs. The ordering process can look as follows:

  • Service selection – The user selects the service of interest (e.g. product highlighting) and the variant/period (e.g. 7 days, specific campaign date).
  • Confirmation of terms and conditions – Details of the service, its cost and terms and conditions (these) are displayed. The user confirms acceptance of the terms and conditions and commitment to pay.
  • Payment – Payment for the service can be taken from the Provider’s balance (if they have sufficient funds accumulated from sales) or added to the monthly invoice. In some cases we require online payment immediately (e.g. for a push campaign in advance) – in which case the User will be redirected to the payment (handled by Stripe).
  • Service fulfilment – Once the order has been paid or confirmed, RefSpace proceeds to fulfilment. E.g. the highlighted offer will automatically activate at the selected time, the push campaign will be sent on the agreed date, etc. The user will be notified (by e-mail or in the panel) about the start and end of the service.

Ordering an additional service is binding – cancellation after the start of the implementation may not be possible or may result in no refund (see section 5: Complaints). The user should therefore consider the conditions before ordering.

.4 Responsibilities and obligations of the parties:

  • On the part of RefSpace: we undertake to perform the ordered service with due diligence, to the extent and at the time stipulated. We take responsibility for the elements under our control – e.g. that the listing is actually visible on the website, that we send the agreed number of notifications to the right audience, that we meet the agreed campaign deadlines. However, we do not guarantee specific business results (e.g. an increase in sales by X%, the acquisition of a certain number of new Creators) – promotional services increase opportunities and reach, but the effect depends on many factors beyond our control (market demand, product attractiveness, competition, etc.). RefSpace is not liable for the Supplier’s lost benefits due to the use or lack of effect of an additional service, provided that the service has been performed in accordance with the contract. In the event of non-performance or improper performance of a service due to RefSpace’s fault (e.g. a failure caused the distinction not to be visible for a significant part of the paid time), RefSpace’s liability is generally limited to a refund of the paid fee for this service or a repeat performance of the service at an agreed later date – see section 5 (Claims) for details.
  • User side: you undertake to cooperate with the provision of the service. This means, among other things, the timely provision of materials, information and approvals if required (e.g. content for an email campaign must be approved before sending, graphics for highlighting provided in the specified format). You are responsible for the material you provide to us – it must not infringe the law or anyone else’s rights (e.g. if you provide a logo or image for an advert, make sure you have the rights to it). In the case of a video licence – you are responsible for complying with the terms of that licence (e.g. don’t publish the video for longer than the contract allows). You also undertake to pay the fees due for the service – failure to pay may result in suspension of the service, as well as statutory interest for late payment in commercial transactions and legal action.
  • Prohibitions on misuse: It is prohibited to use additional services in a manner contrary to their purpose or to the detriment of others. For example, a Supplier should not indiscriminately purchase awards just to push off competitors’ offers (RefSpace may place limits on the number of simultaneous awards per Supplier to ensure fair play). You must also not include graphic or text elements within the promoted content that mislead users about the promotion (e.g. “100% free” if this is not actually the case) or breach the Prohibited Products Policy (e.g. promote a prohibited product). RefSpace reserves the right to withhold or cancel a campaign/service if the Provider’s materials are found to be in breach of the law or regulations – in which case the fee may not be refunded (if the Provider is at fault, e.g. has provided prohibited content).

5. Complaints and cancellations:

  • If the additional service has not been provided as ordered or problems have occurred during the service, the Supplier has the right to make a complaint. Complaints should be submitted by e-mail to support@refspace.com or via the panel (section “Contact Service”), describing what the failure consists of. We recommend that you submit your complaint no later than 14 days after the service in question has been completed (to enable us to verify it efficiently).
  • RefSpace will process the complaint within 14 working days and inform the User of the outcome. If the complaint is accepted (e.g. we confirm that through our fault the campaign did not reach the indicated audience, or the highlighting did not work for 2 out of 7 days), we will offer appropriate redress in the first instance: this may be a repeat of the service (e.g. additional days of highlighting free of charge) or a partial/full refund of the fee. The choice of measure depends on the nature of the service and the Provider’s preferences – we will try to take your expectations into account. The refund will be made to your balance in RefSpace (it will be credited to future billing) or to your bank account/card – we will determine this individually.

          In the event that the complaint is rejected (we consider that the service was performed correctly or that any minor deviations did not have a significant impact), we will justify our decision. If you do not agree with it, you may take further steps in accordance with the General Terms and Conditions (e.g. mediation, legal action), although we will endeavour to resolve the dispute amicably.

  • Cancellation of the ordered service before it is provided is only possible in certain cases and with the consent of RefSpace. If you change your mind after purchasing the service, please contact us as soon as possible. Insofar as the service has not yet started (e.g. the campaign has not been sent, the highlight period has not yet started) – we can cancel the order and not charge you or refund the amount already paid. However, if preparations have already been made or the service has started, we reserve the right to charge a partial or full fee. Example: if you cancel an email campaign just before mailing and we have already incurred costs (preparation of graphics, segmentation of the list) – we can retain part of the fee for these costs.
  • Temporary promotions: If you have purchased a promotional package or service as part of a time-limited campaign (e.g. a special offer valid until 31.12.2025) and have not used it within this time, the unused service is forfeited and the fee is non-refundable, unless otherwise stated in the terms and conditions of the promotion. So try to plan your use of promotional services within the stipulated period.

6. Duration and changes to the Additional Services Regulations: The regulations shall enter into force on 1 October 2025 and shall remain in force until further notice. RefSpace reserves the right to modify these rules in the future, e.g. if new services are introduced or if changes are made to existing services. We will inform Users of any change well in advance (e.g. email to Users + information in the panel). Using additional services after the effective date of changes means acceptance of the new wording of the rules. If the User does not accept the changes, he/she should refrain from ordering further services, and any previously purchased services will be provided under the existing terms and conditions (unless the change has to be applied immediately due to the law – in which case we will inform about it).

7. Final provisions: These Additional Services Terms and Conditions are an integral part of the RefSpace General Terms and Conditions. The provisions of the General Terms and Conditions (e.g. jurisdiction of law and court, force majeure provisions, salvatory clause, etc.) shall apply to matters not regulated herein. In the event of any conflict between the General Terms and Conditions and these Terms and Conditions, the Special Provisions for Supplementary Services (to the extent of the conflict) shall take precedence.
